Areas of Work

I am involved in advising on the formation, reorganisation and dissolution (including technical dissolution arising from a partner joining or leaving) of a variety of professional partnerships (including doctors, dentists, surveyors, accountants and solicitors practices) and of trading and manufacturing partnerships. With the changes in the law on incorporation, particularly as regards solicitors and dental practices, it is now possible to incorporate as a private company or LLP or transfer an existing business into a new private company or LLP with appropriate tax and legal advice.

Experience

Recent transactions include advising on:

• Cessation of the partners in a solicitors practice and the establishment of a new solicitors practice of those persons using an LLP.
• Establishment of a new solicitors practice and the terms of the LLP Agreement distinguishing between "equity" and "salaried" members".
• Use of an LLP for single venture commercial property developments involving high net worth individuals and other investors.
• Removal of one of four designated members/members of an LLP involved in carrying on a digital marketing agency and related to that his cessation as a director and shareholder of an associated company.
• Sale of a digital marketing agency business carried on by an LLP to a third party and the engagement of the designated members under new service agreements by and transfer of staff under TUPE to the third party and conduct of the former LLP business as a division of the third party.
• Dissolution of a "quasi-partnership" involving a manufacturing business carried on through a private company.
• Cessation of a high net worth individual as a limited partner from a Limited Partnership involved in commercial property development.
• Creation of a joint venture to exploit the film/television rights available on licence from a US Corporation.
